恆盛地產公布,控股股東張志熔以每股1.8元提出私有化,涉及資金約45.67億元。私有化作價較公司停牌前1.24元有約45%溢價。
現時恆盛已發行77.92億股股份,計劃股東為24.78億股股份,占該公司已發行股本約31.81%,有關注銷價較恆盛於10月尾停牌前1.24元有約45.20%的溢價。一般而言,協議安排形式的私有化須於股東特別大會上獲不少於四分三的與會小股東投票通過,暫時股東會日期待定。
停牌一個月的恆盛地產(845)落實私有化計劃,擬以最多46億元,每股1.8元向現有股東提出私有化,較停牌前收市價有約45%溢價;不過,較其四年前的上市招股價卻有近6成的折讓。
恆盛地產(00845.HK) 0.000 (0.000%) 宣布,持股68.19%控股股東張志熔提出私有化建議,每股作價1.8元,較停牌前溢價45.16%,惟較6月止資產淨值折讓38.98%,涉資最多45.67億元。
由於恆盛地產在公告里僅表示存在私有化的可能,未提供更多細節,市場關注張志熔私有化恆盛地產的真實意圖。同理,私有化所需資金從何而來?瑞信銀行的分析報告指出,按照恆盛地產停牌前一日收盤價計算,非張志熔持有的31.61%股份的市值達到30億港元,如果考慮私有化,價格通常較即時的股價有大幅溢價,張志熔若要完成恆盛地產私有化,實際動用的資金或將遠超30億港元。
