Hot News 《大行報告》高盛：北控(００３９２．ＨＫ)購中燃(００３８４．ＨＫ)股權料提升明年盈利有限 @ 2013-07-31T15: Back Hot News Keyword：北控 Concept：每股５５元發行 , 向母公司北控集團收購中國燃氣 北控獲母公司注中燃２２％股權 涉資８２億。近期頻頻增持中國燃氣(３８４)股份以力保大股東地位的北京控股集團，突然宣布將持股注入上市公司北京控股(３９２)，涉資８２億元。雖然資產注入早在市場預期之內，但選擇時機仍較市場估計來得早。 據港交所信息披露，７月１１日，北控花費２．３１億港元、以每股平均價８．２１港元(最高８．３５港元)增持中燃，持股比例由２０．９８％增至２１．５７％，超越公司創始人兼主席劉明輝所控制的２１．１２％股權，這意味著，北控在近五個月內第二次奪得第一大股東寶座。今年２月２８日，北控剛剛斥資５億港元，以每股６．７４港元於場外購入中國燃氣７５００萬股，彼時北控持股比例由１９．４８％升至２１．１２％成為第一大股東。 中國燃氣（００３８４）股權又起微妙變化，北控集團上周四（１１日）斥２．３億元增持至２１．５７％，再度超越劉明輝及富地石油，成為單一最大股東。身為被動股東的北控，不惜愈買愈貴保住最大股權，市場憧憬有後著。北控以每股平均價８．２１元，於場內掃入中燃２,８１５萬股，占當日成交６４％。雖然金額不算大，但每股買入平均價創新高，亦較北控去年５月首次入股平均價４．０９元，高逾１倍。北控的大股東地位出現變化，伏線始於７月４日，中燃主席劉明輝及管理層行使購股權合共２．１１億股，令已發行股本由４５．７８億股增至４７．８９億股。北控持股量因而被攤薄至２０．９８％，低於劉明輝及富地合共持有的２１．１２％。
