| ２０１３年７月２０日公告,中興通訊第六屆董事會第六次會議於２０１３年７月２２日召開,審議通過《中興通訊股份有限公司股票期權激勵計劃(草案)》及其摘要的議案。公公司計劃向１５３１名激勵對象授予１０３２０萬份股票期權,行權價格１３．６９元,期權數量占股本總額的３％。計劃有效期為５年,其中,自股票期權授予之日起２年為等待期,等待期後的３年為行權期,在行權期內,激勵對象可分３０％、３０％、４０％共計三次申請行權。行權條件為:公司２０１４年、２０１５年、２０１６年ＲＯＥ分別不低於６％、８％、１０％,２０１４年的淨利潤增長率較２０１３年不低於２０％,２０１５年的淨利潤增長率較２０１４年不低於２０％,２０１６年的淨利潤增長率較２０１４年不低於４４％。 |
