Hot News 上市公司拒提供資訊香港首例 @ 2012-08-07T21: Back Hot News Keyword：高精密 港交所 Concept：中國高精密復牌 , 中國高精密不涉披露不足 另外，對於因航天業務涉及「國家機密」，而無法履行資訊透明責任的中國高精密(００８５１)，獲批於上周五復牌，港交所上市科主管狄勤思指，中國高精密的核數師及律師，可從其它渠道證明去年數字，故批准該公司復牌。 港交所(０３８８-ＨＫ)上市科主管狄勤思表示，中國高精密(０５９１-ＨＫ)停牌，是由於內地政府禁止公司披露涉及國家機密的財務資料，但高精密已聘會計師及律師核實帳目，並向港交所提交書面證明，因此批准復牌。 港交所（００３８８）上市科主管狄勤思表示，上周五復牌的中國高精密（００５９１），去年因核數師在核數過程中發現該公司未能提供相關文件，並不能披露一些定單，以致去年全年會計帳目未能核實，因此停牌。他表示，中國高精密不涉及披露問題，只是核數師不能獲取某些敏感資料，例如銷售合同，會計帳目只需從其他途徑證明便可，故允許中國高精密復牌。（詳見「中國高精密復牌瀉７成 指公司業務涉國家機密」（８月３日）） ■上周復牌的中國高精密（５９１）礙於「國家機密」拒絕向核數師提供資料，市場質疑上市公司能否以「國家機密」作為回避披露藉口。港交所上市科主管狄勤思重申，這不代表內地法律凌駕香港《上市規則》，所有上市公司必須符合應有披露要求始獲准復牌。 港交所上市規則未有提及如何處理涉及國家機密或秘密的資料，相反深交所在信息披露細則中寫明，倘若資料屬於國家機密，公司直接公開或會違反國家保密法，則可申請豁免披露。 【港交所稱中國高精密復牌合規涉機密不公開罕見】中國高精密指去年中期業績遭核數師保留意見，是因為業務涉國家機密，港交所上市科主管狄勤思昨就批准該公司復牌解釋，因為涉及資料根據內地法規不能公開，但帳目能夠透過其它途徑證明，故准復牌。 連日來亦不斷回應，港交所上市科主管狄勤思今天指出，由於公司涉及敏感國家資料，如果得到認可人士核實，會繼續容許公司上市。港交所認為高精密的個案只是核數問題，公司披露的財務數據並沒有比其他公司少，相信未來這個情況不會經常出現。
