Hot News 新奧收購中燃再延期 @ 2012-07-07T07: Back Hot News Keyword：新奧 收購 購中 股東 中燃 Concept：新奧通過收購中燃 , 中石化收購中國燃氣 這是去年１２月財團向中燃提出每股３．５元收購要約後，第三度延期。事實上，新奧在昨日的股東會上以８６．２１％贊成票，通過此項收購。不過，中燃三大股東包括北控（０３９２）母公司、富地石油及韓國ＳＫ，已多次在收購價之上增持中燃，中燃昨日收報３．９２元，此次收購若不提價，難以成功。 中石化（３８６）及新奧能源（２６８８）聯合收購中燃（３８４）進入第三次延期。新奧公布，有關收購的決議案獲股東會批准，但因商務部延長審查財團提交的申請，將最終截止日期延長至８月６日。中燃認為，要約成功機會甚微，敦促財團允許它失效。 通函發布後，新奧股價迅速飆升，在港股 整體行情不佳的情況下逆市上漲７．１％，當日收報３０元，創歷史新高。隨之，全球知名投行、評級機構也紛紛發表公告，表示看好新奧能源未來表現。其中，瑞銀機構維持買入評級，目標價為３２元。里昂則給出了３３元目標價，稱如果新奧能源能夠放棄並購中國燃氣的話。事實上，自去年１２月新奧提出要約收購中燃以來，新奧股價累計僅升３．３％，低於同期華潤燃氣３２％以及昆侖能源２７％的升幅，已經跑輸同業。換言之，市場並不看好新奧收購中燃。 ７月６日消息，據港媒報道，中國燃氣(００３８４)收購戰持續逾半年，收購方之一新奧能源(０２６８８)，今日將召開特別股東大會進行表決。市場認定，即使收購方案獲股東通過，若不提高３．５元(港元，下同)的收購價，仍不能為收購增添勝算。 傅成玉曾表示，中石化財團收購中國燃氣將"讓股東與目標公司大為受益"．他此番聯手新奧燃氣，因其需要後者的燃氣分銷專業經驗來運營中國燃氣。 最新的進展是，新奧燃氣５月３０日對外宣布，將在７月６日召開股東特別大會，旨在對收購中國燃氣要約進行審議，這也是落實收購要約必要條件之一。除此之外，新奧燃氣堅稱，按原定條款繼續推進該收購要約，也就是維持每股３．５港元的收購價格不變。
