Hot News 天量漲停迎重組 廣州藥業強勢復牌 @ 2012-03-29T07: Back Hot News Keyword：廣藥 廣州藥業 Concept：資產重組 , 廣州藥業換股合並白雲山廣藥集團 涉及廣州藥業（６００３３２，前收盤價１３．１４元）和白雲山Ａ（０００５２２，前收盤價１２．１６元）兩家公司的吸收合並預案今日出爐！根據預案，白雲山Ａ與廣州藥業的換股比例為１：０．９５，雙方股東均擁有現金選擇權。另外，市場關注的「王老吉」系列商標的歸屬，廣藥集團也承諾將在可轉讓之日起２年內，擇時轉讓給廣州藥業。 經過４個多月的等待，備受關注的廣藥集團旗下廣州藥業和白雲山的重組方案終於浮出水面。廣州藥業（６００３３２）、白雲山Ａ（０００５２２）昨日同時公布重組預案。據悉，廣藥集團本次整體上市方案包括，廣州藥業換股吸收合並白雲山及廣州藥業發行股份購買資產，兩項交易不可分割、互為前提。 【廣州藥業換股吸收合並白雲山推動廣藥集團整體上市】３月２８日，廣州藥業、白雲山Ａ同時發布公告稱，廣藥集團將通過廣州藥業換股吸收合並白雲山，並發行股份購買資產，從而實現醫藥主業整體上市。據悉，廣藥集團持有的醫藥主業資產中，有兩塊暫時沒納入整體上市的范圍中。即廣州醫藥研究總院因現為全民所有制企業，待改制後方可轉讓;另外，２９項商標因「王老吉」商標法律糾紛問題，也未納入擬購買資產范圍。廣藥集團承諾，待「王老吉」商標法律糾紛解決，以及廣州醫藥研究總院完成公司制改建、股權可轉讓後，將一並轉讓給廣州藥業。 停牌近４個月，白雲山Ａ（０００５２２）與廣州藥業（６００３３２）的重組方案終於浮出水面。相關各方２８日公告，廣州藥業擬以新增Ａ股股份換股吸收合並白雲山，換股吸收完成後，白雲山全部資產、負債、權益、業務和人員將並入廣州藥業。同時，廣州藥業擬向廣藥集團發行Ａ股股份作為支付對價，收購廣藥集團擁有或有權處置的房屋建築物、商標、保聯拓展１００％股權、百特醫療１２．５０％股權。通過上述交易，廣藥集團將以廣州藥業為平台，實現其主營業務的整體上市。重組完成後，廣州藥業作為廣藥集團下屬唯一的醫藥主業上市公司，將變更公司名稱。
